General Summary

Provides support to the Corporate Secretary and Assistant Corporate Secretaries by maintaining corporate governance information for WellSpan Health and its controlled entities (the "Controlled Entities"). Provides support to WellSpan Health attorneys by drafting documents and correspondence, conducting legal research, and assisting with regulatory filings. This role should demonstrate excellent communication skills and commitment to client service, promoting positive and effective working relationship with all contacts. This role requires significant independent judgment and discretion, sound organizational and analytical skills, and ability to function well with minimal supervision.

Duties and Responsibilities

Essential Functions:

  • Maintains a corporate entity database with information and records for WellSpan Health and the Controlled

Entities, including articles of incorporation, articles of organization, bylaws, operating agreements, minutes

of board of director and board of manager meetings, resolutions, unanimous written consents, and entity

officers and board members.

  • Assists with preparing corporate resolutions for review and approval, including annual review of bylaws and

annual appointments of directors and officers of the Controlled Entities.

  • Drafts, files, and manages various business entity documents for corporations, limited liability companies,

and partnerships with State agencies, including required annual entity reports to the Pennsylvania

Department of State.

  • Provides administrative support for documents and activities related to corporate restructurings, such as

mergers, formations, and dissolutions.

  • Liaises with internal and external counsel as needed.

  • Builds and maintains a corporate forms database (e.g., articles, bylaws, certificates, and transaction

documents).

  • Assists attorneys in the Office of General Counsel ("OGC") by drafting documents and correspondence,

including standard corporate agreements such as non-disclosure and confidentiality agreements.

  • Conducts legal research and creates presentations and issue summaries.

  • Drafts and files certain regulatory forms and reports.

  • Reviews and prepares policies, procedures, and other operational documents.

  • Assists with project management, process design, and the creation of standard work for various OGC

initiatives.

Qualifications

Minimum Education:

  • Bachelors Degree Required

Work Experience:

  • 15 years experience in In-house or law firm paralegal experience

  • Corporate governance experience. Preferred

Courses and Training:

  • Paralegal training/certificate Upon Hire Preferred

Knowledge, Skills, and Abilities:

  • Excellent written and verbal communication and organizational skills.

  • Careful attention to detail.

  • Proficient in legal research and Microsoft Office tools such as Word and Excel.

  • Self-motivated and flexible.

  • Able to learn quickly and work without supervision.
