Job Description

In this Senior Counsel role, you will be a member of the ESG & Corporate and Subsidiary Governance Legal Team located in Toronto and you will provide legal advice that both advances business outcomes and protects TD. You will work collaboratively with business, control functions and with other members of TD Legal to deliver high-quality legal advice and support for initiatives related to corporate governance, board education, ESG-related matters and TD's annual general meeting (AGM). This work is in support of sound corporate governance practices that contribute to the effective management of the bank and to achieving the bank's strategic and operational plans, goals and objectives.

The general accountabilities of the role include, but are not limited to:

  • Researching and advising on corporate governance requirements, expectations and best practices

  • Contributing to continuing education for directors, including with respect to relevant trends in business and industry and the regulatory environment in which TD operates

  • Providing advice and support in connection with TD's Sustainability Reporting Suite, Management Proxy Circular and engaging with external stakeholders including shareholder proponents

  • Being familiar and staying current with legal, regulatory and industry developments relating to corporate governance and investor relations

  • Making recommendations to senior lawyers and other leaders on strategy and governance-related initiatives, based on an in-depth understanding of the business and legal environment

  • Applying expertise and thinking creatively to address unique or novel matters and working collaboratively with colleagues across business lines and corporate functions, including Risk, Compliance, Sustainability & Corporate Citizenship, Investor Relations and others

  • Contributing to colleague development within the Legal Department by discussing relevant legal issues or regulatory developments

  • Contributing to high priority special projects and Legal Department initiatives

Broader work or accountabilities may be assigned as needed.

Job Requirements

  • You have a law degree from an accredited law school and are qualified to practice law in Canada

  • You have 5 to 7 years of experience practicing law, preferably with broad corporate governance law experience – in-house experience in ESG space also relevant

  • You are high energy, curious and enthusiastic

  • You have superior analytical and communication skills both in legal and business settings

  • You can manage multiple deadlines and priorities while paying attention to detail

  • You are an independent thinker with excellent judgment who also has strong interpersonal skills and the ability to work effectively with multiple partners

  • You provide advice in a time-sensitive and clear manner

  • Ability to work independently as well as part of a team

  • Ability to work effectively with external counsel
