Job Summary

The Regional Manager, Legal and Compliance APAC, will provide legal support for the APAC business, including to support the Regional Directors, Legal, based in Sydney and Singapore who together support the business in Australia, New Zealand, India, Singapore, Malaysia, Thailand, Korea and Vietnam/Export Markets.

This position will include drafting and negotiating various business agreements, contracts between Zimmer Biomet and healthcare partners or other third parties, reviewing promotional and educational materials, and supporting Company Secretariat activities for the companies in the APAC group. This individual will provide legal advice on a broad range of issues to support the business units to achieve their goals and mitigate risk to the company. This individual will further provide support to various activities of the Corporate Compliance Program. This individual will report to the Regional Director, Legal, Asia Pacific, based in Singapore. This position is based in Singapore.

Principal Duties and Responsibilities

  • Support the Regional Directors, Legal, Asia Pacific (based in Singapore and Sydney) as requested, in performing general legal services to support the business and development activities of Zimmer Biomet in Asia Pacific. Support regional and global legal initiatives and projects as required.

  • Provide contract support to the business including drafting, reviewing, negotiating and settling legal contracts and transactional agreements.

  • Review of marketing collaterals and policy documents as required.

  • Review and advise on legal implications of internal policies and procedures. Conduct legal research on new or pending legislation and regulations impacting company’s operations to ensure compliance and share knowledge with the rest of the APAC Legal team as required.

  • Support requirements of the Corporate Compliance Program, as necessary. Compliance support will include review of requests for grants funding, marketing sponsorships, support for Compliance training activities, and approvals for HCP engagements on development projects.

  • Support Corporate Secretarial activities in APAC including management of external Company Secretarial services providers and circulating documents for review and execution by company office holders.

  • Updating and maintaining APAC template agreements on SharePoint

  • Support for Corporate and Regional development and other projects.

  • Demonstrated ability to develop professional relationships with clients in which corporate goals and priorities are maintained without compromising legal integrity.

  • Demonstrated ability to work cooperatively with colleagues to leverage skills and knowledge within the Legal division.

  • Demonstrated ability to contribute to a high-performance culture through effective communication, leadership and a consensus-building approach with those at all levels and functions of the Company.

  • Demonstrated exceptional oral and written communication and presentation skills.

  • Ability to draft and communicate clear legal advice and to conduct and manage legal training activities for Zimmer Biomet team members.

  • Experience in Company Secretarial activities and functions.

  • Experience in preparing, reviewing, enforcing and managing a wide variety of contracts and other legal instrument types.

Education/ Experience Requirements

  • Law Degree and at least 5 to 7 years’ experience as a practicing lawyer in a law firm and/or in­ house corporate legal position. Must have solid academic credentials.

Travel Expectations

  • Estimated at 5-10%.

  • Travel may be required from time to time on short notice as most travel will be within the Asia Pacific countries, but occasional travel to the United States to attend global department meetings may be expected.
