SAIC Manager, Corporate Development - HYBRID in REMOTE WORK, Virginia

Description

The company is seeking a Manager in the Corporate Development group to help support the execution of the company’s Merger & Acquisition efforts. This visible position will report to the SVP, Corporate Development Officer and work closely with Business Unit and Corporate Leadership.

Specific Responsibilities:

  • Develop and maintain a proactive acquisition pipeline

  • Engage with Business Groups, BD, and Innovation function to develop competitive market and capability maps for M&A scenarios

  • Play an integral role in Corporate-led transactions, leading market analysis, target profile, business case development, executive presentations, and overall transaction execution

  • Support the execution of all Corporate Development processes including strategy, pipeline, due diligence, valuation/financial modeling, key terms with advisors and coordinating deal process with function heads and related parties.

Detailed responsibilities include:

  • Support the development of an M&A pipeline, including market research, M&A target profiles, presentations for meetings with business leads, c-suite, boards and external stakeholders

  • Assist in conducting preliminary financial and cross-functional due diligence

  • Build valuation models, including accretion/dilution, discounted cash flow, return on invested capital, and weighted average cost of capital analysis. This includes everything from industry transaction multiple benchmarks, assessment of comparable company trading multiples, etc.

  • Build deal P&L/ operating model based on a contract waterfall/ client basisSupport synergy analysis and tracking

  • Facilitate the execution of all M&A related agreements (e.g., NDAs, indications of interest, letters of intent, exclusivity agreements, purchase agreements, etc.)

  • Communication with all key internal stakeholders

  • Track and maintain relationships with Investment banks, due diligence advisors, and potential targets

  • Assist in conducting integration assessments and execution planning

  • Support M&A Post-Mortems

Qualifications

  • Prepare and maintain summary of corporate development activities

  • Business, Finance, Accounting, Economics or related course of study required

  • Minimum of 5+ years of experience in finance & accounting/ corporate development/ transaction services/ valuation practice/ investment banking/ Big 4 deal advisory required

  • Fluency with financial statements and financial statement analysis

  • Strong understanding of valuation methodologies and corporate finance theory (e.g., NPV, DCF, IRR, WACC, ROIC, accretion/dilution, trading multiples, etc.)

  • Proven analytical, organizational, and presentation skills with strong written and verbal communication skills required

  • Strong business acumen and analytical judgement in understanding deal rationale and associated risks/issues

  • Ability to work in a fast-paced, collaborative, and entrepreneurial environment. Able to prioritize and push forward on multiple initiatives

  • Unwavering work ethic, willingness to roll up sleeves – including potential long hours to drive deal completion/ business needs

Target salary range: $150,001 - $175,000. The estimate displayed represents the typical salary range for this position based on experience and other factors.
