Assist the Sr. Director, Strategy & Bus Development and other senior leadership to drive inorganic growth initiatives through M&A / corporate development, including targeting and evaluating opportunities, executing deals, and integrating businesses and assets post-acquisition.
Conduct industry research to identify opportunities within the company's existing lines of business, in new geographic markets, or in new product verticals, including market and competitive analyses, fit with organization, financial implications, and entry strategy.
Continuously maintain perspective on competitors’ market position, strengths and weaknesses and how BMC may be impacted by market trends and competitors’ strategy and actions.
Assist with formulation of acquisition target criteria and prioritization of target universe
Liaise with business and sales leaders in markets across the country to identify acquisition targets.
Conduct company and market research projects, competitive analysis and other market intelligence reporting.
Develop and maintain pipeline of acquisition targets by
Reviewing industry publications
Developing internal relationships with BMC market managers and sales people across the country.
Independent research, cold calls, and site visits.
Conduct diligence on potential acquisition targets
Assessment of strategic fit
Financial statement analysis
Valuation with detailed financial models using various scenarios and valuation metrics
Quality of earnings
Preparing investment memoranda and presentations for review by senior executives and the board of directors.
Assist with negotiation of transaction terms and legal documentation.
Manage transaction processes among coordinate resources, both internal (operations, finance, legal, tax) and external (business brokers and intermediaries, legal counsel, seller parties, etc.).
Manage closing, post-closing & integration processes & activities as needed.
Assist Sr. Director, Strategy & Bus Dev to develop and maintain a formalized acquisition process to ensure consistency, effectiveness and efficiency.
Other duties as assigned.
Ideal candidate for role:
Someone who has worked for several years at an investment bank, in private equity, or in one of the big accounting firm’s transaction advisory services (TAS) groups.
Someone who is currently a corporate development analyst/associate in a different company
Inquisitive – ability and desire to pose insightful questions
Self-motivated – ability to determine how best to answer questions posed by self or others and to follow through to formulate answers
Conscientious – desire to efficiently produce accurate work product for its own sake
Analytical ability, both quantitative and qualitative, to work objectively (with data such as financials) and subjectively (with processes and people). Candidate should be able to assimilate and synthesize extensive amounts of detailed data to see the big picture, analyze, and summarize vast amounts of information as well as understand all the detail supporting the analysis.
Detail oriented – ability to produce accurate work on tight timeframes with understanding that the company depends on accuracy and that much of candidate’s work will not be checked by others
Sufficient maturity and communication skills to enable unsupervised and close constructive communication with VP & C-Level management on a regular basis.
US work authorization
Relevant prior work experience (minimum 3 years) with full deal cycle exposure such as corporate development, corporate strategy, investment banking, private equity, transaction advisory services or management consulting.
Substantial working knowledge of Microsoft Excel, PowerPoint and demonstrated experience in business valuation, financial modeling, analysis, research and presentation creation.
Travel requirement is variable but expected to be 15%
