Perform complex legal research and analysis, structuring and negotiating deals, and drafts legal papers relating to banking and finance law, including acquisition financings, syndicated bank financings, direct lendings, fund financings, accounts receivables securitizations, term loans, revolving loans, delayed draw term loans, and incremental loans. Represent lenders, arrangers, private equity sponsors, funds and public and private corporations in a variety of financing transactions. Provide legal advice regarding financing transactions involving mergers and acquisitions, syndications, refinancings, real estate financings, fund financings, and securitizations. Draft and negotiate legal documents, including complex financing documentation such as commitment papers, term sheets, credit agreements, indentures, note purchase agreements, subordination agreements, security agreements and guaranties, inter-creditor agreements, legal opinions, bankruptcy opinions, and other ancillary corporate documentation. Lead deal teams in financing transactions, including advising market terms to clients, collaborating with partners to develop and execute legal strategies, and delegating to, training and managing junior and mid-level associate attorneys in finance transactions and related legal issues.
