Morgan Stanley In-House Legal Coverage Position for Fixed Income Sales & Trading/Global Capital Markets Derivatives Attorney in New York, New York

Morgan Stanley is seeking an in-house attorney to provide legal advice and coverage to the private side interest rate and foreign exchange desks in Global Capital Markets (GCM) and the public side counterparty credit risk desk (XVA) in the Fixed Income Division (FID). The role would be an integral part of the fixed income legal coverage team providing legal advice and coverage for these desks and the other fixed income institutional sales and trading businesses.

Responsibilities will include:

Advising the desks on U.S. legal and regulatory matters, including the Dodd Frank Act, securities laws and bankruptcy law o This includes providing legal advice as to how such laws, rules and regulations should be interpreted and liaising with external counsel where appropriate in order to reach a legal conclusion Working closely with desks and their structuring teams to provide legal advice, along with outside counsel and internal legal and compliance professionals, on transactions, including providing legal advice on interest rate swaps and foreign exchange secured under credit facilities, potential trade ideas, development of new products or transactions, live trading issues, and counterparty risk matters (including counterparty defaults and closeouts of swaps) o This includes drafting and negotiating contracts related to such transactions and reviewing and commenting on drafts prepared by outside counsel, in order to ensure that such contracts reflect the legal and economic terms that have been agreed Working closely with the business, front office risk management and compliance as the legal advisor on governance, legal and regulatory policies and procedures and the development and implementation of risk control frameworks, and Participating on industry working groups focusing on legal matters impacting these asset classes, including ISDA interest rate, foreign exchange and other documentation working groups.

Qualifications:

Candidates should be trained lawyers with at least 3 years of experience in bank finance, financial services or corporate law with a familiarity in derivatives and/or securities law. Ability to work collaboratively and independently in a fast-paced environment on multiple matters; ability to think strategically about legal issues and analyze and evaluate potential risks and mitigation alternatives from a legal, regulatory and franchise perspective

Expected base pay rates for the role will be between $110,000.00 and $190,000.00 at the commencement of employment. However, base pay if hired will be determined on an individualized basis and is only part of the total compensation package, which, depending on the position, may also include commission earnings, incentive compensation, discretionary bonuses, other short and long-term incentive packages, and other Morgan Stanley sponsored benefit programs.
