Job title - Associate AttorneyJob duties - Review and conduct analysis on complex credit agreements and indentures and related transaction documents in order to assess the risks of liability management transactions for the relevant lenders and bondholders. Conduct legal research regarding contract law, tort law, securities law, bankruptcy law and other relevant legal regimes. Draft and review complex pleadings in bankruptcy cases, including, without limitation, Debtor-in-Possession financing and cash collateral related pleadings and court orders, confirmation order and briefs, and sales briefs under §363 of the U.S. Bankruptcy Code and relevant orders. Prepare to appear and appear in bankruptcy court on behalf of clients to present oral arguments. Travel required 10% of the time to domestic and international locations. Ability to telecommute from a location within reasonable commuting distance of the NY office and must be available to report in-person as needed.Education and Experience required - Juris Doctor (J.D.) and 2 years of experience in a BigLaw firm (250+ lawyers) as a U.S. bankruptcy law attorney. Employer will also accept a Master of Law (LL.M.) and 2 years of experience in a BigLaw firm (250+ lawyers) as a U.S. bankruptcy law attorney.Background - Admitted to practice law in the state of New York. 1 year of experience in representing large debtors with at least $500 million in assets in their chapter 11 cases under the U.S. Bankruptcy Code. 1 year of experience in representing ad hoc group of first-lien secured creditors in both in-court and out-of-court restructurings. 1 year of experience analyzing the risks of liability management transactions embedded in credit agreements and indentures. 1 year of experience in litigations under New York contract law and the U.S. Bankruptcy Code.Location - New York, NYRate of pay - $310,000 - $330,000 per year, depending on qualifications & other operational considerations.
