Manager Supervisory Board Office / Legal Counsel (m/f/d) - Temp until 30.04.2022

Purpose & Overall Relevance for the Organisation

  • Provide legal advice on all matters of financing law and capital markets law

  • Provide legal advice on selected corporate law and corporate governance related topics as well as Executive Board matters

Key Responsibilities

  • Provide legal advice on matters relating to ad hoc disclosure

  • Drive organizational capital markets law compliance at adidas, in particular compliance with Insider Trading Law and Managers’ Transactions Notifications (e.g. by data compiling, communication and trainings)

  • Manage external legal communication of statutory publications by independently creating and updating legal content

  • Provide legal advice on financing contracts as well as debt and equity capital markets transactions, such as bonds, commercial paper or loan agreements

  • Provide legal advice for parental guarantees and lease guarantees

  • Drive the legal entity management for the German subsidiaries of adidas, in particular by preparing shareholder meetings and supporting internal restructurings

  • Manage filing of legal documents for the German subsidiaries with the commercial register and German Federal Gazette

  • Manage a variety of organizational and legal topics for adidas AG’s Annual General Meeting

Knowledge, Skills and Abilities

  • At least willingness to acquire knowledge of capital markets and financing law

  • Excellent command of German and English language (written and spoken)

  • Understanding of financing transactions and related contract language

  • Strong interest in, understanding of and affinity for legal, communication and accounting matters

  • Well-organized, proactive, professional with excellent communication and interpersonal skills

  • Capability to manage multiple priorities to accomplish tasks simultaneously under tight timelines

Requisite Education and Experience / Minimum Qualifications

  • Fully qualified lawyer (Volljurist) with above average grades in both state exams

  • Minimum of two years of relevant industry experience
