AUI Partners Internal Legal Counsel in Fort Worth, Texas

Internal Legal Counsel will play a crucial role in providing expert legal advice and support to the organization's internal stakeholders. They will be responsible for ensuring that the company operates in compliance with applicable laws and regulations while also protecting its legal rights and interests. This position will have a heavy focus in contract law and negotiation will play a crucial role in safeguarding the company's interests, ensuring compliance with legal requirements, and mitigating potential risks. This position requires a keen attention to detail, strong negotiation skills, and the ability to collaborate with various internal stakeholders.

1) Legal Advisory:

• Provide comprehensive legal advice and guidance to internal departments, executives, and management on a wide range of legal issues affecting the organization's operations, including contracts, intellectual property, employment law, data privacy, regulatory compliance, and corporate governance.

• Analyze and interpret legal documents, legislation, and regulations to assess their impact on the company's operations and strategies.

2) Contract Review and Negotiation:

• Collaborate with business units to understand their needs and preferences while safeguarding the organization's interests.

• Advise on contract terms, risks, and potential legal implications to protect the company's interests.

• Review, draft, and negotiate various agreements, contracts, and legal documents, ensuring that they follow relevant laws and company policies.

• Engage in negotiations with external parties to secure favorable contract terms that align with the company's business objectives.

3) Compliance and Risk Management:

• Monitor changes in laws and regulations that may impact the company's operations, ensuring compliance with all relevant legal requirements.

• Develop and implement compliance programs to promote adherence to legal guidelines and mitigate potential legal risks.

4) Dispute Resolution:

• Collaborate with external legal counsel in managing disputes, litigation, and other legal matters involving the company.

• Provide guidance on potential litigation risks and strategies to minimize legal exposure.

5) Intellectual Property Protection:

• Advise on intellectual property matters, including trademarks, copyrights, and patents.

• Oversee the company's intellectual property portfolio and assist in protecting the company's proprietary information.

6) Corporate Governance:

• Ensure compliance with corporate governance principles and legal requirements for the organization's executives and senior management.

7) Training and Education:

• Conduct legal training and workshops for employees to increase awareness and understanding of relevant legal issues.

8) Relationships:

• Participate in networking events and business development opportunities within Industry and Professional organizations and associations.

• Ensure there is proper communication and customer service between your team and the organization.

• Maintain positive, productive relationships with ALL stakeholders, including AUI employees, Subcontractors, Vendors, Owners, Architects, Engineers, and regulatory entities.

• Always represents AUI with the highest standard of professionalism – Leads by example.

9) Miscellaneous Duties:

• Receive Supervisory guidance with respect to overall objectives; operate within department policy guidelines using independent judgment in achieving assigned objectives and perform additional assignments per supervisor’s direction.

• Always adheres to company procedures and policies.

• Attend and participate in meetings as required.

• Provide support on any special projects as requested.

• Available 24/7 as needed for emergencies.

• Comply with all safety policies, practices, and procedures.

• Travel as needed.

  • Education: JD degree from accredited law school, licensed to practice law

  • Experience: 5 years of experience in areas such as contract law, corporate law, or litigation. Legal Counsel experience in Construction a must.

  • Skills: Strong analytical, research, and communication skills; ability to provide strategic legal advice.

  • Knowledge: Solid understanding of relevant laws and regulations.

  • Teamwork: Ability to collaborate effectively with internal and external stakeholders.

  • Ethics: Demonstrated integrity and professionalism.

  • Adaptability: Ability to quickly learn and adapt to changes in legal landscape.

  • Organization: Strong multitasking and prioritization skills.
