Fortive Corporation Manager, Tax M&A in Everett, Washington

Fortive Corporation (“Fortive”) has launched a national search for a new role –Manager, Tax M&A. This position will report to the Senior Tax Counsel, M&A, & Global Tax Controversy. The incoming individual will play a crucial role in navigating Fortive Corporation through strategic execution and implementation of mergers, acquisitions, and other corporate transactions and compliance. This position will work closely with the Tax Operations and Global Planning teams as well as Legal, Corporate Development, and other corporate functional groups.

Although responsibilities and expectations are highly technical in nature, a successful candidate will also have a well-developed business sense and the interest and ability to drive strategic value under the Fortive Shared Purpose and Values. A successful candidate will be adaptable and effective working in a continuous improvement culture driven by the Fortive Business System.

Essential Duties & Responsibilities:

  • Develop and implement comprehensive plans to support Fortive’s merger, acquisition, and divestiture strategies, including minimizing tax liabilities, maximizing financial benefits, and optimizing tax attributes.

  • Perform due diligence to identify and assess potential tax exposures and assist in planning to remediate identified exposures.

  • Manage requests for information between Fortive, external advisors, and potential targets.

  • Assist with modeling the impact of various M&A transactions as it relates to U.S. federal, state, and international taxes to identify optimal tax structuring.

  • Review and comment on various legal documents required to implement transactions.

  • Assist with the preparation and review of tax return documentation related to M&A transactions, ensuring compliance with all applicable tax laws and regulations.

  • Assist with post-acquisition integration planning, including developing step plans, and coordinating with external advisors and various teams within Fortive.

  • Develop a strong understanding of Fortive’s global footprint and establish relationships with the corporate tax, legal, corporate development, and operating company finance teams.

  • Coordinate with external tax advisors and or subject matter experts within Fortive to bring in the expertise required for arriving at optimal solutions/decisions while ensuring the accuracy of their deliverables and compliance with set budgets.

  • Communicate tax benefits and issues related to M&A transactions to internal groups and leadership.

  • Conduct research with respect to tax issues and draft email summaries and memoranda.

  • Monitor, review, and analyze draft tax legislation, tax regulations, court decisions and other guidance to advise management on changes which will impact Fortive.

  • Identify opportunities for operational efficiency and implement continuous improvement of tax processes under Fortive Business Systems (FBS).

  • Promote and support Fortive’s mission, policies, values, and standards of ethics and conduct.

    Qualifications/Requirements:

  • Bachelor’s Degree required; MST in Taxation or JD (or equivalent certification) with LL.M. in Taxation preferred.

  • 6+ years of tax experience in major law firm, accounting firm, or multinational company with consistent and progressive increase to responsibilities and a focus on M&A transactions (including due diligence, structuring, and tax modeling).

  • In-depth knowledge of tax laws and regulations, particularly in the M&A context.

  • Large corporate experience background preferred.

  • Accounting for income tax experience is a plus.

  • Ability to effectively use Excel, PowerPoint, and software tools with large volumes of data and CorpTax experience is a plus.

  • Legal authorization to work in the U.S. is required.

  • Demonstrated ability to communicate complex tax issues, opportunities and risk to non-tax experts in a clear and concise manner.

  • Ability to provide guidance when confronted with the continuing ambiguity caused by the significant gray areas in tax law.

  • Active learner and critical thinker that is detail oriented with strong problem solving, organizational and time management skills.

  • Results-oriented, technically curious, team player with strong written and oral communication skills.

  • Experience operating at a strategic level with remote teams and advisors.

  • Readiness for occasional travel, including global travel as required.

Everett, WA: The salary range for this position is $114,655 - $212,750

National: The salary range for this position is $99,700 - $185,000

This position is also eligible for bonus as part of the total compensation package.

Base pay offered may vary depending on various factors, including, but not limited to: job-related knowledge; skills; experience; and other eligibility factors such as geographic location. The Total Rewards package includes competitive base pay and an opportunity to enroll in a variety of benefit programs, generally including health insurance, flexible spending accounts, health savings accounts, retirement savings plans, life and disability insurance programs, and several programs that provide for both paid and unpaid time away from work.
