Securities Paralegal The Securities Paralegal is responsible for compiling, analyzing and presenting information, drafting and reviewing disclosures, and otherwise assisting in-house securities counsel regarding public communications and regulatory filings in compliance with SEC rules, NYSE rules, state requirements, and Comerica's objective of clear, persuasive, and plain English communications. This will include Section 16 filings for executive officers and the Board of Directors, proxy statements, SEC periodical reports, and other SEC filings. The paralegal will also work on corporate governance documents. Position Responsibilities: * Assist attorneys in the preparation of SEC filings, such as proxy statements, Form 8-K, Form 10-K, Form 10-Q and Section 16 documentation (Forms 3, 4 and 5). * Assist attorneys in debt and equity securities offerings. * Involvement in the annual meeting process. * Compile, analyze, draft, review, and otherwise manage information from various sources for purposes of assisting attorneys in disclosure-related issues, e.g., stock ownership data and director and officer questionnaires. * Assist attorneys in the preparation of corporate governance documents (policies, charters, etc.). * Research, analyze and document complex legal and business issues at attorney request and direction. * Assist attorneys in the corporate secretary function, including the preparation of minutes, resolutions and other materials for boards of directors. * Other duties and tasks as assigned.
