Description The Corporate Paralegal is responsible to support the General Counsel and Assistant General Counsel in preparing, reviewing, and revising legal documents and contracts, helping coordinate complex transactions, and giving legal assistance. This position will also assist with legal research, building contract templates, and updating company files. Responsibilities of Position: Participate in the contract review process, drafting templates, review and redline standard corporate agreements, commercial contracts, bid requests and other legal documents. Update contract templates and maintain legal department's electronic and paper document management systems. Manage transactional work preparing and reviewing documents related to acquisitions and provide assistance with due diligence. Draft correspondence that does not require legal interpretations or provide advice, but do require a good working knowledge of contracts, litigation, and specialized terminology. Draft and review real estate agreements, prepare title work and provide assistance with real estate closings. Prepare and file annual reports with state authorities. Assist in the preparation and review of discovery and subpoena requests and responses; coordinate and manage document receipt and production. Assist with the preparation of materials for meetings of the Board of Directors. Maintain corporate minute books and other corporate records for the company and its subsidiaries, including resolutions, board of director changes and annual reports. Assist with the management of Certificates of Insurance for vendors, suppliers and contractors. Assist with legal research, as needed. Provide administrative support services to the AGC, GC and CEO, as needed. Work with other members of the legal team on special projects under the supervision of the GC Other duties, as assigned. Skills & Abilities Needed for Position: Associates Degree or Paralegal Certificate required, Bachelor's Degree preferred. Five (5) to Seven (7) years of experience as a Corporate Paralegal, required. 2-3 years of law firm and/or in-house experience reviewing commercial contracts and general corporate matters, preferred. Thorough knowledge of legal principles, legal research techniques, legal terminology, and government regulations. Proficiency in Microsoft Office Suite. Additional Working Conditions/Aspects: Excellent written and verbal communication skills and the ability to communicate effectively with all levels and functions. Ability to handle confidential, sensitive materials. Outstanding organizational and interpersonal skills with a demonstrated track record of managing details required of a corporate paralegal. Attention to detail and excellent reading comprehension. Legal research proficiency and ability to conduct independent research. Strong work ethic, ability to work independently and manage multiple tasks and deadlines effectively in a fast-paced environment. Excellent time management with the ability to handle conflicting time demands and focus on task completion with little direction or need for supervisory follow-up.
