Description
Commercial Real Estate Company in Charlotte, NC is seeking a Corporate Paralegal to support their Legal Department! Excellent opportunity for a Corporate Paralegal to grow with a busy Legal Department. Duties for the Corporate Paralegal include managing due diligence, preparing meeting minutes, and drafting and editing contracts.
Roles and Responsibilities:
Drafting corporate documents including entity formation documents
File formation documents & amendments
Drafting and negotiating lease agreements, amendments, license agreements and related documents, with an emphasis on retail leasing.
Abstracting loan agreements and keeping track of important reporting requirements
Provide information for preparation of annual reports and obtaining EIN's for various entity types
Prepare articles of incorporation, formations of partnership/corporation, bylaws, resolutions, stock certificates, deeds, leases, riders, purchase and sales agreements, and closing checklists for corporate and real estate clients
Monitor status of corporate filings and Prepare and file UCC financing statements
Prepare and file Certificates of Formation, and Articles of Incorporation, as well as Certificates of Amendment, dissolutions and withdrawals, and any foreign qualifications for LLC's, corporations, joint ventures, professional entities and partnerships
Coordinating due diligence, financing and closings on acquisitions or developments
Assistance on SNDA, Estoppels, Rent Commencements
Requirements
Requirements:
5+ years of experience in Commercial Real Estate experience;
Undergraduate degree and paralegal certification (or equivalent);
Detailed, accurate, and an ability to handle confidential information
Experience working with Microsoft Office resources (Outlook, Word, Excel, PowerPoint), with PDF software and related scanning and production utilities, and document management software;
