Position Overview

This position is an experienced legal advisor to the General Counsel, DAI Global and other members of DAI’s senior leadership teams in all areas of responsibility. As a member of the OGC, the Counsel will primarily be assigned to serve as a Funds Lawyer for DAI’s asset management businesses. Counsel will also be expected to serve as a legal advisor on other matters related to DAI’s businesses, as assigned by the General Counsel.

DAI Asset Management, LLC is the umbrella entity that houses all of DAI’s asset management activities globally. MicroVest Capital Management LLC (MicroVest), a wholly owned subsidiary of DAI Asset Management, LLC, is an SEC regulated investment advisor, dedicated to applying a commercial framework to investing in unbanked and underserved markets.

The funds lawyer will provide strategic support to DAI Asset Management as DAI grows its asset management business in the US and other jurisdictions, including formation of new funds, regulatory compliance, supporting all asset management activities. The funds lawyer also will provide day-to-day support to MicroVest, including portfolio management, formation of new funds, and regulatory compliance, and may serve as a member of the MicroVest senior management team.

This is a full-time position that requires the ability to work in the United States without sponsorship. This position requires the ability to travel domestically within the United States and internationally on an as needed basis.

Responsibilities

Fund Structuring

  • Advise management on formation, structuring, and operation of investment funds.

  • Negotiate limited partnership agreements, side letter agreements, placement agreements, and other investment management related contracts.

  • Support the preparation and updating of offering documents associated with private fund offerings and providing related advice on legal and regulatory issues.

  • Advise on the various rules and regulations applicable to private fund offerings, including Regulation D, bad actor certifications, ERISA, and investor qualification requirements.

  • Review and advising on matters related to MNPI procedures and related trading issues

  • Advise on registration of investment fund products in other jurisdictions.

Regulatory Compliance

  • Ensure DAI Asset Management funds activities are compliant with all relevant regulations, including compliance manuals, accuracy and timeliness of required filings, staff training, anti-money laundering.

  • Develop and oversee effective compliance programs for DAI Asset Management investment advisory activities, including US Investment Advisors Act and regulatory frameworks in other relevant jurisdictions, including acting as the compliance officer, as appropriate.

  • Support oversight of marketing document compliance with respect to regulatory restrictions and disclosure requirements as well as Reg. D filings and compliance of investor side letters.

  • Act as designated anti-money laundering (AML) for MicroVest with oversight of AML and KYC screening activities; provide direction to staff on any potential AML issues and clearance of red flags identified.

  • With respect to MicroVest, support the Compliance Officer’s oversight of MicroVest’s compliance program, support preparation of annual SEC, CIMA, and FCA filings and other regulatory filings; ensure that public filings of MicroVest and the funds are accurate and timely.

Portfolio/Underwriting Activities

  • Advise senior management and investment team on cross-border debt and equity investment legal and structuring issues.

  • Establish and maintain standard form loan agreements and ancillary documents such as due diligence questionnaires.

  • Oversee outside counsel (U.S. and international) engaged to draft commercial loan, subscription, and shareholders agreements, and advise generally regarding investment-specific legal matters.

  • Provide input to and oversight of term sheets and other investment documents as necessary, including final review of and responsibility for all legal documentation prior to execution and disbursement of funds.

  • Draft, or supervise support staff or outside counsel in drafting, contract amendments, forbearance agreements, restructuring agreements and waivers.

Additional responsibilities as deemed necessary.

Qualifications & Skills

Minimum Requirements:

  • Grade 8: Minimum of 9 years of relevant legal experience – law firm, SEC or in-house - and a J.D. or equivalent legal degree. Equivalent combinations of education and experience will be considered.

  • Grade 9: Minimum of 11 years of relevant legal experience – law firm, SEC or in-house - and a J.D. or equivalent legal degree. Equivalent combinations of education and experience will be considered.

  • Relevant legal experience includes working on investment or fund activities including, but not limited to, representing fund sponsors in formation, structuring, and operation of private investment funds, such as hedge funds, private equity funds, private debt funds and other alternative investment vehicles.

  • Must be a member in good standing of at least one State Bar in the United States.

  • Demonstrated strong knowledge of the Investment Advisors Act, the Investment Companies Act and the Securities Exchange Act.

  • Experience in M&A activities.

  • Knowledge of legal and regulatory environments in relevant U.S., EU, and offshore jurisdictions.

  • Excellent written and oral communication skills, with the ability to communicate clearly and professionally with internal and external clients, and tailor communication style to diverse audiences, and present complex information succinctly.

  • Self-directed with excellent organizational skills with the ability to prioritize a large volume of assignments and manage multiple deadlines.

  • Excellent attention to detail.

  • Outstanding analytical skills.

  • Demonstrated sound business judgement and able to handle confidential and/or sensitive information with discretion.

  • Demonstrated negotiation skills.

  • Able to work as part of a decentralized team with minimal oversight.

  • Professional proficiency in MS Office suite (Word, Excel, PowerPoint).

  • Able and willing to travel to any country where DAI currently operates, or may wish to operate, barring times when DAI Global Security has deemed travel unsafe.

  • Able and willing to adjust work schedule, if needed, to support teams located in different time zones/countries.

  • Authorized to work in the United States without sponsorship.

Preferred, but not required:

  • Experience in debt financing, banking and/or project finance.

  • Experience in cross-border M&A transactions.

  • Experience working in foreign jurisdictions, including in developing countries and/or frontier/emerging markets.

  • Professional working proficiency in a second language (Spanish, French, Russian, or Arabic preferred).

  • Prior experience supervising legal support staff on a day-to-day basis and supervising the work of other attorneys.

Compensation & Benefits:

For employees working the United States, the full-time equivalent annual base salary for this position is expected to be:

  • At the P8 level: between $136,406 to $167,743.

  • At the P9 level: between $155,946 to $190,600.

Salary for part-time employees will be prorated based on actual hours worked. Actual offers will be based on several factors including, but not limited to, qualifications, relevant education, experience, skills, seniority, performance, and business or organizational needs.

Eligible U.S. based employees, will be able to enroll in medical, dental and vision insurance, plus a 401(k)-retirement plan with a company match. Additionally, employees will be eligible for company-paid annual leave (vacation & holidays), sick leave, parental leave; as well as short- and long-term disability coverage. Detailed information will be provided at the time a formal offer is extended.

For employees working outside of the United States, compensation and benefits will vary based on location.
