EXECUTIVE ADMINISTRATIVE ASSISTANT – CORPORATE SECRETARY - CORPORATE OFFICE (AUSTIN, MN)

This position reports to Hormel’s Vice President and Corporate Secretary.

RESPONSIBILITIES:

The person in this position:

  • Contributes to and is responsible for administrative support of the Corporate Secretary and the Paralegal – Corporate Governance in the areas of corporate governance, corporate secretarial, securities laws, and stockholder relations.

  • Facilitates Board of Directors meeting logistics, maintains Board of Directors meeting minutes and stock ownership records, implements the Board of Directors payment policy, and maintains Company information on the NYSE electronic portal.

  • Conducts various tasks including onboarding and offboarding of board members, annual meeting preparation, proxy filing and distribution, equity grant implementation and inquiry, governing documents, foreign entity qualifications, and escheatment matters.

  • Executes administrative duties including maintaining rotary work files, monitoring and assessing incoming mail, phone, and email inquiries from both internal and external parties, completing expense reports, processing billings, creating communications, and coordinating meeting/travel logistics.

  • Upholds strict confidentiality due to sensitive information such as Board matters, executive compensation, mergers and acquisitions, Company financial results, and personnel matters.

  • Handles a large volume of work in an intense office environment, under time constraints of established deadlines with quick turnarounds.

  • Interacts daily with members of the Company’s Board of Directors, the CEO, and other members of Company’s senior management, their assistants, and various other external stakeholders, personnel , and service providers.

  • Provides back up to the Paralegal – Corporate Governance in identified time-sensitive areas.

  • Assists and performs back up duties for the Executive Administrative Assistant- Legal.

  • Completes other duties as assigned.

QUALIFICATIONS:

Required

  • A high school diploma.

  • Proven ability to keep all work performed and information learned strictly confidential.

  • Demonstrated strong adaptability, time management and communication skills.

  • Ability to work independently and use good judgment in prioritizing the work.

  • Demonstrated proficiency in Windows environment, including Microsoft Word, Excel, Power Point, Adobe Acrobat, and Outlook.

Preferred

  • An Associates Degree or a Bachelor's degree.

  • Legal work experience, especially in the areas of corporate governance, corporate secretarial, securities laws, and/or stockholder relations.

  • Prior experience working in administrative roles.
